These Terms of Service (“Terms”) are an agreement between you and Noiseless Capital LLC, a Wyoming limited liability company, trading as Tact (“Tact”, “we”, “us”). They cover your use of the Tact website at tactreply.com, the demo and the application (the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service for a company, you confirm you can bind that company to them.
1. The Service
Tact helps businesses manage comments and messages on their Facebook Pages and Instagram professional accounts. It can classify comments, draft and publish replies, hide comments, and send private replies, according to the settings you choose.
Following Meta’s rules, Tact sends at most one private reply per comment, and only within 7 days of the comment.
2. Business use only
- The Service is for businesses. You use it as a business, for your trade or profession, and not as a consumer.
- Tact is not a party to any sale between your shop and your buyers. The contract for each sale is between you and your buyer only.
- You alone are responsible for your products, prices, product claims, delivery (including cash on delivery), returns and refunds to your customers.
3. Your account
- You must be at least 18 and give accurate information.
- You are responsible for activity in your account and for keeping your login secure.
- You may connect only accounts that you own or are authorized to manage.
4. Your responsibilities
- Follow Meta’s Community Standards, Advertising Standards and platform terms, and all laws that apply to your business, including consumer-protection, advertising and privacy laws.
- Keep your product, price, shipping and policy information accurate. Replies are based on it.
- Review the automation settings, “never say” rules and review threshold, and check held comments regularly.
- Have a lawful basis, and give any notices required, for processing your commenters’ data through the Service.
- Some laws require you to tell people that a reply is automated or written by AI. You are responsible for any such notice, for example on your Page or in your replies.
5. AI-generated content
Replies and messages are generated automatically and can be wrong, incomplete or unsuitable. You are responsible for the content published from your accounts, including automated content. You can edit, approve or undo replies from the dashboard, and you can turn automation off at any time.
6. Acceptable use
You may not use the Service to:
- send spam, unsolicited bulk messages, or messages outside what Meta allows;
- make false, misleading, or unlawful claims, including medical or financial claims;
- harass, discriminate against, or deceive people;
- break, probe, overload, or reverse-engineer the Service, or get around its limits;
- process data you are not allowed to process.
7. Data and privacy
You keep ownership of your content and data. You give us permission to process it only to provide and improve the Service, as described in our Privacy Policy. For commenters’ personal data, we act as your service provider and process it on your instructions.
8. Third-party services
The Service depends on Meta’s platforms and APIs and on other providers. We are not responsible for their availability or changes. If Meta limits or revokes access, some features may stop working.
9. Free trial, plans and payment
- You can try Tact free for 3 days. No card is needed. Each shop gets one free trial only.
- After the trial, Tact works on a monthly plan: Solo, Pro or Scale. Prices are shown on our pricing page in local currencies (MAD, DZD, SAR, AED, EUR). The first 50 shops on Pro get a founding price and keep it for as long as they keep their plan.
- Online payment is not live yet. A plan starts only when payment is set up with you, and you will always see the price before you pay. If you don’t choose a plan after the trial, Tact simply stops answering. Nothing is charged automatically at the end of the trial.
- A paid plan renews every month until you cancel it. You can cancel at any time by emailing support@tactreply.com, or from your account when that option is shown there. After you cancel, your plan does not renew.
- 30-day money back: if you paid and are not happy in your first 30 days, we refund you. No questions.
- We may change our prices. We will tell you by email at least 30 days before a new price applies to you, so you can cancel first if you want.
- Taxes may apply, depending on where you are.
10. Intellectual property
We own the Service, including its software and design. We give you a limited, non-exclusive, non-transferable right to use it under these Terms. Feedback you send us may be used freely to improve the Service.
11. Suspension and termination
You can stop using the Service and delete your account at any time. We may suspend or end access if you break these Terms, if required by law or by Meta, or to protect the Service or other users. On termination, we delete your data as described in the Privacy Policy.
12. Availability
We work to keep the Service running, but we provide it “as available”. We do not guarantee any uptime, and the Service may be slow, interrupted or unavailable at times, for example during maintenance or when Meta or another provider has a problem.
13. Disclaimers
The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any number of sales, replies, or results.
14. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim is limited to the greater of the amount you paid us in the 12 months before the claim and USD 100.
15. Indemnity
You will defend and indemnify us against claims arising from your content, your products and sales, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
16. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Any dispute about these Terms or the Service will be decided by the state or federal courts located in Wyoming, USA, and you and we agree to their jurisdiction. Mandatory protections in the law where you live still apply, and nothing in these Terms takes them away.
17. Events outside our control
We are not responsible for delays or failures caused by events we cannot reasonably control, such as outages of Meta, hosting or internet services, natural disasters, war, strikes, or government action.
18. Other terms
- Assignment: you may not transfer these Terms to someone else without our written consent. We may transfer them, for example if our business is sold or merged.
- Severability: if a court finds part of these Terms invalid, the rest stays in force.
- Entire agreement: these Terms and the Privacy Policy are the whole agreement between you and us about the Service.
- Notices: we send notices to the email address on your account. You send notices to support@tactreply.com. Email notices count as written notices.
- Survival: sections that by their nature should last after the Terms end (for example fees owed, intellectual property, disclaimers, limitation of liability, indemnity, and governing law and disputes) stay in force.
- No waiver: if we don’t enforce a right at once, we can still enforce it later.
19. Changes
We may update these Terms. We will post the new version here and, for significant changes, notify you in advance. Continuing to use the Service after a change takes effect means you accept it.
